Preamble
Welcome to the Retaz Curator Community, the global community of playlist curators Retaz exists to bring together. "Community" is the consumer-facing name we use everywhere our members meet us: in the app, on retaz.fm, in our messages, and throughout this Charter.
The same group is called the Retaz Curator Association in legal documents. Both names describe the same Members.
This Charter is part of the agreement between you and Retaz LLC, alongside the Terms of Use. It states what your membership is, what it isn't, what we owe you, and what we ask of you. All dates and times in this Charter are US Eastern time, with one exception: actions toward a badge count from 00:00 UTC on August 2, 2026 (8:00 PM US Eastern on August 1).
Who is a Member. Everyone with a Retaz account is a Member of the Retaz Curator Community. Every Member must be 18 or older, or older where the law of their country sets a higher minimum age for using a service like Retaz (Terms of Use, Section 3). Some rights in this Charter need a membership, bought in the app, held free through the Founders Program, or granted in another way by Retaz (Terms of Use, Section 2). A Member who holds one is a Premium member, and those rights are marked "Premium". Until October 15, 2026, every Member has every right except the translation of direct messages, which always needs a membership. Everything not marked belongs to every Member.
Section 1. What You Have as a Member
Membership confers identity, voice, access, recognition opportunities and language commitments, which stand apart from any prize, contest or campaign.
1.1 Identity recognition
- Member identity. You are recognized as a Member of the Retaz Curator Community (and, in legal contexts, of the Retaz Curator Association).
- Member profile. You may keep a profile with a display name, an avatar, a short bio and your curator history.
- Curator status. Any Member may create and publish playlists; publishing is open and not gated. The Curator badge is an earned recognition, shown on your profile, awarded when a Member completes eleven (11) qualifying actions: (a) creates at least one playlist of their own meeting the 4-song minimum (a playlist needs at least 4 songs to count) and (b) casts at least one heart, then (c) completes nine (9) more actions from any combination of further playlists meeting the 4-song minimum (a playlist declared as adopted from another person counts here) and/or hearts cast (any country; no cross-border requirement). The badge is earned recognition, NOT a publish-gate. Hearts need a membership from October 15, 2026, so after that date a Member without a membership can complete the badge only if a heart they gave before it still counts.
- Founding Curator badge. A Founder (a Member who signed up before October 15, 2026, 00:00 US Eastern) who completes the same eleven actions between August 2 and November 16, 2026 earns the Founding Curator badge instead of the Curator badge. Members who sign up on or after October 15, 2026 earn the Curator badge, and a badge first earned after November 16, 2026 is the Curator badge. Neither badge expires. A badge is removed if hearts that earned it are struck after a refund (Terms of Use, Section 2) and the actions that still count no longer meet the eleven-action test, and it can then be earned again. Badges also end if Retaz terminates the account (Section 6.3).
1.2 Voice
- Hearts (Premium). Premium members give hearts to playlists, one heart per playlist at a time. Hearts given during La Chispa (October 17 to November 16, 2026) count under the La Chispa Founding Recognition Rules.
- Comments (Premium). Premium members comment on playlists under the Community Guidelines. Every Member can read comments in the language they were written in, except that a curator can turn comments off on their playlist, which hides them for everyone, and a Member without a membership cannot open the comments on their own playlists.
- Messages (Premium). Premium members can send direct messages to other Premium members and receive them. Unless you follow each other, your messages go as a message request until the other Member accepts it, and they can decline it. A Member can turn message requests off or block you, and limits on messages apply. Messages from others are translated into your language, with the original always available; when a translation cannot be made, you see the original.
- Feedback. Every Member can send feedback from inside the app, and Retaz considers it in good faith. Retaz alone makes its business decisions (see Section 2).
1.3 Community access
- Every Member. Every Member can browse and listen, and create, import, export and share playlists (creating happens in the iOS and Android apps). Music services are never behind the paywall: connecting your streaming account, importing, exporting, opening a song in its service, previews, and full playback where your service and device support it work the same for every Member. Whether you hear a full song or a preview never depends on whether you pay Retaz. Premium members also give hearts, comment, send messages and read other Members' words in their own language.
- All languages. The Retaz app works in 200+ languages, for every Member, free or paid. Some languages are community-translated and still improving, and a few lines stay in English until their translation is reliable. Members can suggest better translations from inside the app.
- No advertising around the music. Retaz never places advertising or sponsored content during playback or next to any song. Premium members never see sponsored content anywhere. In this Charter, advertising and sponsored content mean content a third party pays Retaz to show or link to; Retaz's own messages, including those about Retaz membership, are neither.
1.4 Recognition opportunities
- The Spark. The Spark features independent artists, one at a time. Retaz chooses each Spark Artist. Retaz asks nothing of a Spark Artist: no fees, no exclusivity, no transfer of rights.
- La Chispa. Members in good standing may take part in La Chispa, the one-time founding event from October 17 to November 16, 2026. The La Chispa Founding Recognition Rules alone decide who may be recognized and how; this is only a summary. A playlist can be recognized only if it is the Member's own work, was first created on Retaz inside the window, is public for substantially the whole window, and holds at least four unique tracks at the close (Rules, Sections 2.8 and 3). Its curator must live in a participating country (Rules, Section 7), must be a subscriber (Rules, Section 2.1), must hold the Curator badge or the Founding Curator badge (Rules, Section 2.7), and must have published at least one playlist inside the window. Giving hearts needs a membership (Section 1.2). The Global Champion is announced December 1, 2026. Future Retaz recognition events will be different.
- Equal standing. For La Chispa, every Member stands on equal footing whenever they joined. Two recognitions belong to the founding period by design: the Founding Curator badge (Founders only) and the Founders Champions (up to ten, chosen from beta members). The people who cannot be recognized in La Chispa because of their relationship with Retaz LLC are those listed in Section 2.6 of the La Chispa Rules, which governs: Matt Pollock and Sarah Pollock; immediate family of either Co-Founder (spouse, children, parents, siblings, and in-laws of equivalent degree); employees of Retaz LLC; paid advisors to Retaz LLC; contractors of Retaz LLC engaged during the La Chispa window; and any person with a financial or governance relationship with Retaz LLC outside standard Association membership.
1.5 Translation and language preservation
- Your language. The notification list in the app is in your language; push notifications may arrive in English for now.
- Translation (Premium). Premium members read other Members' comments and direct messages in their own language, with the original always one tap away. When a translation cannot be made, you see the original. Playlist titles and descriptions appear as their curator wrote them.
- Curator-voice preservation. Translation aims to keep your tone, rhythm and idiom. The original is always one tap away, so nobody reads only a translation of you.
- Native speakers as partners. Retaz invites native speakers to review and improve translations, and treats them as partners in its language work.
Section 2. What You Do Not Have
This is the counterweight to Section 1. We are explicit because honesty about the limits of membership is what lets the rest of this Charter hold.
2.1 No governance authority over Retaz LLC
Membership confers no voting, approval, consent, or other governance authority over Retaz LLC: not over its management, finances, strategy, product roadmap, hiring, partnerships, fundraising or any operational decision. Matt Pollock and Sarah Pollock retain full management authority as Managing Members. Your voice (Section 1.2) covers product feedback, hearts, peer recognition and community participation, not the business of Retaz LLC.
2.2 No ownership
Membership confers no equity, profits interest, membership units, options, warrants, convertible instruments, or other ownership or economic interest in Retaz LLC. Membership is not an investment. What a Premium member pays is the price of a service, not a capital contribution.
2.3 No distribution claims
Members have no claim to distributions from Retaz LLC: no right to EBITDA, revenue, sale proceeds, listing proceeds, recapitalization proceeds or any other company distribution.
The only exceptions are rights that Retaz LLC grants to a particular person in a separate written agreement, such as a signed Global Ambassador Agreement (Section 3.3) or a Founders Champion recognition grant (Section 3.2). Those rights belong to that person alone. They are not a right of membership, and no other Member has a claim under them.
2.4 No statutory association rights
The Retaz Curator Association is the name used in legal documents for the same group of Members this Charter calls the Community. The Association is a program of Retaz LLC, not a separate legal entity. Membership gives none of the statutory rights that members of associations, cooperatives or mutuals may have: no vote on Association leadership, no statutory inspection right, no distribution right and no dissolution right. The La Chispa Rules say when their heart record may be inspected (Rules, Sections 4.9, 6 and 10).
Section 3. The Champion Distinction
Retaz recognizes Members in three separate ways during the founding period: the La Chispa Global Champion, the Country Ambassadors, and the Founders Champions. They are easy to confuse; this section disambiguates.
3.1 La Chispa Global Champion (December 1, 2026)
The Global Champion is the curator whose eligible playlist holds the most valid hearts in the world when La Chispa closes, as the La Chispa Founding Recognition Rules define. Members choose the Champion with their hearts; Retaz LLC does not. What the Champion receives, including a written invitation to negotiate a Global Ambassador role, is set out only in Section 6 of those Rules. The terms offered for the Global Ambassador role exist only under a Global Ambassador Agreement that both sides sign, may never take effect, and are not equity or a place on Retaz LLC's cap table.
Each participating country's winning curator is recognized as that country's Country Ambassador, as Section 6.8 of the Rules describes.
3.2 The Founders Champions (October 14, 2026)
Up to ten Founders Champions are chosen by the Co-Founders, Sarah and Matt Pollock, from beta members, as the people who most helped build Retaz before launch. It is a discretionary recognition, not a contest outcome. They are announced on October 14, 2026, before the October 17 public launch.
The Founders Champions are not the La Chispa Global Champion. They differ in what they recognize (pre-launch founding contribution vs. campaign-period community resonance), in selection mechanism (founders' discretionary recognition vs. democratic peer voting), in eligibility window, and in announcement timing. The terms of the Founders Champion recognition are separate from, and are not, the terms offered to the Global Champion.
3.3 Champion as invitation, Ambassador as contractor
The Global Champion is recognized by the Members' hearts and invited, in writing, to negotiate the Global Ambassador role with Retaz LLC. The invitation is not a transfer of any economic interest. The Champion may accept, decline or do nothing, and keeps the recognition and the Award set out in Section 6 of the Rules, whatever they choose.
The Global Ambassador role is structured as an advisor / independent contractor agreement with Retaz LLC, governed by US law, performed remotely. It is not employment. Specific terms are negotiated post-recognition based on the Champion's jurisdiction and tax position.
Section 4. Member Conduct Obligations
Members agree to:
- Follow the Retaz Terms of Use.
- Follow the Community Guidelines. No harassment of other Members. No attempts to identify anonymous sources or reporters. No surveillance of other Members beyond what public features show. No targeting of anyone for their language, country, religion, gender, sexuality or other protected characteristic.
- Respect curator-voice preservation. Do not impersonate other curators. Do not claim authorship of others' work. Do not modify attribution of another Member's playlist or commentary.
- One person, one account. Each natural person may hold one account. Sock-puppet accounts, vote-trading, and identity manipulation are violations.
- No paid placement or vote manipulation. Do not solicit, accept, or coordinate paid placements in your playlists or paid votes for any work. Do not coordinate vote rings or schemes simulating organic recognition. Coordinated manipulation disqualifies La Chispa entrants from the recognition event in addition to any action on the account. During La Chispa, do not ask other Members to heart any playlist, and do not ask anyone to ask for you (La Chispa Rules, Section 9.3).
Section 5. Retaz's Obligations to You
- Honor your identity. Badges you have earned stay with you through product and price changes; Section 1.1 says when a badge can be removed.
- Honor your voice. Your comments and messages are hidden or removed only under the Terms of Use and the Community Guidelines, and item 4 says how we tell you. Hearts count as the Terms of Use and the La Chispa Rules describe.
- Honor your language. The app speaks your language. Translation of other Members' words aims to keep their voice, and the original is always available.
- Telling you why. When we remove your content or suspend or close your account, we tell you why where we reasonably can. We may hide content while a serious report is reviewed. You can appeal by emailing [email protected] with the subject "Appeal" within 30 days, and a person reviews your appeal (Terms of Use, Sections 9 and 11). La Chispa decisions follow Section 10 of the La Chispa Rules.
- Transparency. Retaz will publish a transparency report on content moderation, the integrity of its recognition programs, its language work and incident handling, at retaz.fm/transparency. The first is published by March 31, 2027.
- Non-extraction posture. Spark Artist surfacing, recognition events, and curator-voice features are non-extractive: Retaz spotlights Members and artists without asking for fees, exclusive rights, or any right in your content beyond the license in Section 6 of the Terms of Use.
Section 6. Termination and Suspension
6.1 Member-initiated closure
You may delete your account at any time, in the app or at retaz.fm/delete-account, except from November 17, 2026 at 00:00 US Eastern Time until the final La Chispa tally has been captured, normally a few minutes later (La Chispa Rules, Section 1.6). Deleting your account does not cancel a membership bought through the App Store or Google Play; cancel it in your store account first. Your data is handled under the Privacy Policy, and refunds follow Section 2 of the Terms of Use.
6.2 Retaz-initiated suspension or termination
Retaz may suspend or close an account for breaking the Terms of Use, this Charter or the Community Guidelines, as Sections 9 and 11 of the Terms of Use describe.
6.3 Badges when an account ends
If Retaz terminates your account under Section 6.2, the badges on that account end with it, except a recognition or award under the La Chispa Rules, which those Rules govern. A suspension alone does not remove a badge.
6.4 Champion rights are separate
If the Global Champion and Retaz LLC have signed a Global Ambassador Agreement, closing the Champion's account does not end the rights in that agreement. That agreement, not this Charter, says how those rights end.
Section 7. Dispute Resolution
7.1 Talk to us first
Report a problem from inside the app, or email [email protected] for safety matters and [email protected] for anything else. To appeal a moderation decision, email [email protected] with the subject "Appeal" within 30 days (Terms of Use, Section 9). La Chispa disputes follow Section 10 of the La Chispa Rules.
7.2 Review
If we cannot resolve it, Sarah and Matt Pollock review it and may consult counsel.
7.3 Governing law and courts
Section 14 of the Terms of Use applies to this Charter: West Virginia law, the state or federal courts serving Greenbrier County, West Virginia, and every mandatory protection the law of your country gives you.
Section 8. Amendments to This Charter
- Approval. Material amendments require joint sign-off from both Co-Founders (Matt and Sarah Pollock) as Managing Members of Retaz LLC.
- Notice. Members are notified of a material amendment in the app or by email at least 30 days before it takes effect, with a plain-language summary and a redline against the prior version.
- Non-retroactivity. Amendments do not retroactively diminish member rights for actions completed under the prior Charter. A Founding Curator badge already earned, a vote already cast, a Champion designation already made, and any other vested recognition persists across the amendment.
- Counsel review. Material amendments are reviewed by counsel before publication where Retaz LLC has counsel engaged.
Section 9. Companion Documents
This Charter sits alongside the Retaz Terms of Use (retaz.fm/legal/terms), the Retaz Privacy Policy (retaz.fm/legal/privacy), the Community Guidelines (in the app), the La Chispa Founding Recognition Rules, Version 3 (retaz.fm/legal/la-chispa-rules/), and the Retaz Global Ambassador Agreement Template, which is made available to the Global Champion on December 1, 2026. If they conflict: for La Chispa, the La Chispa Rules govern; otherwise the Terms of Use, then the Privacy Policy, then this Charter.
Governing language. This Charter is written in English. Retaz LLC may publish translations for convenience; if a translation differs, the English text governs. Nothing here limits a right the law of your country gives you.
Closing Statement
This Charter is part of the agreement between you and Retaz LLC, alongside the Terms of Use. We wrote it so the terms are knowable. The terms here are the structural commitments that let the Community be a real thing rather than a marketing claim. We will hold these terms. We expect you to hold yours.
